ALL BIDDERS HEREBY CERTIFY THAT THEY HAVE READ AND FULLY UNDERSTAND THE TERMS AND CONDITIONS LISTED BELOW AND THEY AGREE TO BE BOUND THEREBY. EACH AUCTION MAY HAVE ADDITIONAL TERMS THAT ARE NOT LISTED HERE. IT IS THE BUYER'S RESPONSIBILITY TO UNDERSTAND ALL THE TERMS AND CONDITIONS PRIOR TO SUBMITTING ANY/ALL BIDS.

Internet Bidding
Lots may be combined as high bidder's choice, internet bidders will have 15 seconds to select choice after they're determined high bidder. If internet bidder does not make a choice within 15 seconds, the next available 1 lot will be default. Internet bidder agrees in advance to the previous statement to accept the next available lot. Del Peterson & Associates is providing pre-auction and live internet bidding as a service to bidders. Bidders acknowledge and understand that this service may or may not function properly the day of the auction. Under no circumstances shall Bidders have any kind of claim against Del Peterson & Associates or anyone else if the Internet service fails to work correctly before or during the live auction. Del Peterson & Associates will not be responsible for any missed bids from any source. Internet bidders who desire to make certain their bid is acknowledged should use the proxy-bidding feature and leave their maximum bid 24 hours before the auction begins. Del Peterson & Associates reserves the right to withdraw or re-catalog items in this auction.

Bidders who bid from off site and are not present at the live auction understand and acknowledge that they may not be able to inspect an item as well as if they examined it in person. Del Peterson & Associates shall endeavor to describe in detail each item and any pertinent information about it. Del Peterson & Associates will not be responsible for any errors or omissions in the description of the item unless it is a material and intentional misrepresentation of the item itself.

Terms
High bidder will enter into purchase agreement upon conclusion of the auction. $100,000 earnest deposit due day of sale with execution of the purchase agreement, made payable to Springdale Title & Realty, Inc. Balance of purchase price to be paid in full, with certified funds upon closing and delivery of deed. Closing to take place on or before March 29, 2019. Title insurance and closing fees to be shared equally between Buyer and Seller. Seller to pay 2018 Real Estate taxes, 2019 and subsequent taxes are the sole responsibility of the Buyer. Full possession to be given upon closing. Sale of the property is not contingent upon ability of the Buyer to secure financing. Any announcement day of auction shall take precedence over any printed material. Final bid subject to the confirmation of Seller. The Property shall include all mineral and water rights owned by Seller, if any, privileges, right of ways, easements and restrictions of record. To the extent any and all mineral and water rights, privileges, rights of ways, easements and related rights applicable to the Property are conveyed, Broker makes no representations, warranties, or guarantees regarding such rights. Seller has the right to refuse any/all offers. Property and equipment is sold on "AS IS, WHERE IS" basis with no warranties or guarantees expressed or implied, made by the Broker, Auctioneer or Seller. No operational assessments have been made DPA Auctions and/or Black Dirt Land Sales & Management LLC, it has been photographed ONLY. Agency: Carrie Duffy, Steve Peterson, Doug Rickett, Paige Peterson are acting as Seller's limited agents and as such, solely represent the Seller in this transaction.

Parcels 1-4 will be offered once, then the combination of all parcels (Parcel 5) will be offered once, then Parcels 1-4 will be offered a second time; Parcel 5 will be offered a second time if and only if there was a bid or bid(s) placed the first time.

Parcel 1 will be sold 160 (+/-) acres x price per acre

Parcel 2 will be sold 160 (+/-) acres x price per acre

Parcel 3 will be sold 150 (+/-) acres x price per acre

Parcel 4 will be sold 164 (+/-) acres x price per acre

Parcel 5 will be sold 634 (+/-) acres x average price per acre of Parcels 1-4 with a minimum raise of $50 per acre
